Distribution Agreement

1. Background
a. Electronic Distributor desires to enter into distribution Agreement with Product Developer
whereby Electronic Distributor will distribute software to Customers and collect payments
from Customers.
b. Electronic Distributor desires to sell Product Developer's Software Products to Customers.
