iTake Video Converter for Mac distribution permissions

DISTRIBUTOR AGREEMENT

iTake and Distributor hereby agree as follows:

Distribution Rights. iTake grants to Distributor the non-exclusive right and license to distribute iTake's Products to Distributor's customers in the Worldwide; provided, that Distributor may at any time during the term of this Agreement assign its rights and obligations under this Agreement to one or more of iTake, Inc., or any of iTake, Inc.'s majority owned direct or indirect subsidiaries or affiliates (individually, a "Subsidiary") with respect to the world, and each Subsidiary shall thereafter have the rights and obligations of Distributor hereunder with respect to the territory assigned to it as if such Subsidiary had entered into this Agreement directly with iTake. "Products" shall include all of iTake's products set forth on Exhibit A hereto and any other products manufactured or marketed by iTake for distribution, during the term of this Agreement and intended for sale by resellers.
