MacVideo DVD Creator distribution permissions

DISTRIBUTOR AGREEMENT

Mac Video and Distributor hereby agree as follows:

Distribution Rights. Mac Video grants to Distributor the non-exclusive right and license to distribute Mac Video's Products to Distributor's customers in the Worldwide; provided, that Distributor may at any time during the term of this Agreement assign its rights and obligations under this Agreement to one or more of Mac Video, Inc., or any of Mac Video, Inc.'s majority owned direct or indirect subsidiaries or affiliates (individually, a "Subsidiary") with respect to the world, and each Subsidiary shall thereafter have the rights and obligations of Distributor hereunder with respect to the territory assigned to it as if such Subsidiary had entered into this Agreement directly with Mac Video. "Products" shall include all of Mac Video's products set forth on Exhibit A hereto and any other products manufactured or marketed by Mac Video for distribution, during the term of this Agreement and intended for sale by resellers.
